Innovative Business Advisors (InnovativeBA) takes calculated and specific steps to represent you in the sale of your business. The following confidential process will help you understand the steps we take to deliver a successful sale and an exceptional experience for all stakeholders.
STEP 1) VALUATION OF YOUR BUSINESS
An essential first step and the most import step to ensure your company is priced appropriately and will stand up to due diligence. You must be able to validate your sale price. Should your buyer seek institutional financing, your deal will stand up to financial scrutiny. Fair market value pricing is key to a successful sale. Terry Lammers, Broker/Owner and CVA (Certified Valuation Analyst), is not simply a business appraiser. His valuation methodologies are based on experience, extensive training, and certification through NACVA (National Association of Certified Valuation Analyst). Each preliminary business valuation is carefully reviewed and approved by Terry before final listing.
STEP 2) CONFIDENTIALITY & MARKETING
Since reactions to the sale of your business will vary widely from customers and competitors, to employees, vendors and creditors, it is best to manage confidentiality in a professional and consistent manner. Maintaining privacy allows your company to operate normally while the selling process is underway. While advertising and promotion of your company is important, releasing the proper message to the appropriate stakeholders and prospects will be strategic. All marketing communications, internal and external, will be generated by the Innovative BA team and distributed to target audiences in a timely and effective manner. We also welcome your input as to prospective buyers or industry specific marketing opportunities.
STEP 3) MARKET KNOWLEDGE & BUSINESS DATA
Our team of professional negotiators are embedded into business communities locally, regionally and nationally. We are a collective of business owners, property owners, developers, business consultants, lawyers, business strategists, and financial analysts with access to and understanding of current market and industry specific trends and data necessary to attract the right buyers to your company.
STEP 4) INQUIRIES, PROSPECTIVE BUYERS & NEGOTIATIONS
This phase demonstrates perhaps the greatest value in hiring Innovative BA. We leverage 100+ years of experience in all aspects of commercial real estate, business development, financial analysis, financing, legal strategies, real estate development, and general management to attract and present qualified buyers to your company. As is customary, negotiations between the buyer and seller will take place through your Innovative BA representative. We select the most knowledgeable and experienced industry specific members of our team to support your sale, and present complete bios of those members for your inspection.
STEP 5) CONTINGENCIES & CLOSING
Once a letter of intent is received, Innovative BA guides you through any required contingencies to closing. Your Innovative BA Team begins immediately to remove all contingencies in the sale agreement and meet all the terms and conditions necessary to close the transaction. All known and unknown obstacles must be removed efficiently and without procrastination. When the efforts of the entire team – seller (owners, investors, corporate shareholders, LLC members, family members), buyer, attorneys, tax and financial analysts, lenders, insurance representatives, inspectors, landlords, title companies, any regulatory agencies, and all other outside stakeholders and interested parties- have successfully satisfied the contingencies, will closing occur.
STEP 6) FEES
Our fees are highly competitive, carefully outlined at the outset, and locked into the listing agreement, which is signed by all parties.                
STEP 7) LISTING AGREEMENT
The final step in the listing process is your first step towards successfully selling your business. From this step forward, you will have the full weight and experience of the Innovative BA team on your side. We build a sales portfolio of your company for qualified buyers. In addition to items outlined in Step 2, each teammate prospects their individual networks and your company is listed on appropriate websites and search engines online.
